own the right to license them to you. They may not be
downloaded, used or copied without our permission.
Our permission to you to use
them is granted only if you license the products from
us in accordance with these terms. |
1. Introduction
These terms and condition (the “Agreement”)
apply to when you order the Mind Tools How to Lead Program.
A “Teleclass” is a teleconference hosted by Mind
Tools and its associates for purposes described on the Mind
Tools web-site. An “E-Class” is a series of personal
development lessons delivered by email. "Supported Study
Programs" may comprise e-book workbooks, E-Classes and
Teleclasses, audio downloads and personal support by email.
If you place a booking for an order for a
Supported Study Program then, unless we notify you that we do
not accept your booking, a legally binding contract will be
formed between you and Mind Tools Limited (“we”,
“us” or “Mind Tools”).
If you do not agree to these terms, then you
must not tick the check box on the Order Form to accept terms
and conditions, and you must not proceed further with the order
process.
2. About us
“We” are Mind Tools Limited, a company registered
in England under registered number 4829074 and with a VAT number
of 840 1273 62 and registered office at Hardwick House, Prospect
Place, Swindon, SN1 3LJ.

address, by email or by phone. Please email our customer
helpdesk and allow 24 hours for a response to allow for
time zone differences. You can also contact us on +44 20 7788 7978
- this number will be answered between 8am and 5.30pm UK time,
and you can leave a message on voicemail outside these hours.
We care very much about the standard of the
service we offer to our customers. Please contact us using the
contact details above if you are dissatisfied in any way - we
do our very best to solve immediately any problem that arises.
3. Contract Terms
The terms of the contract are as set out here, together with
any representation that we have made about the Supported Study
Program on our website. All other terms and conditions contained
in any other document, and all other representations, are excluded
unless their inclusion is expressly agreed in writing.
4. Your Cancellation Right & Money Back Guarantee
If you are dissatisfied in any way with a Supported Study Program
that we provide to you, then we will refund your payment for
that booking. All you need do to qualify for this is let us
know within the period specified for the Supported Study Program
– usually 3 calendar months from the date of your purchase.
To claim a refund, just send an email asking
for it to our teleclass
helpdesk team. We will issue the refund within 7 days of
your request.
5. Accessing Teleclasses
You will gain access teleclasses by dialing a telephone number
and access code given to you on confirmation of your booking.
You will bear the cost of making a telephone call for the duration
of the teleclass to the international or long distance number
given (usually a US number). The charge to you is determined
and charged by the telephone service provider you use. You should
check the cost of calls in advance with your telephone service
provider. If you are not the bill payer, you should also get
permission of the bill payer before making the call.
6. Rights of Access
to Teleclasses
Your booking entitles you alone to access any teleclass that
forms part of the Supported Study Program. You must not forward
or otherwise disclose the access telephone number and access
code to other parties. For further places for friends or colleagues,
please book and pay for each person in the normal way at the
Mind Tools site.
7. Use of Copyright
Materials
As part of your program, you will also receive a licence to
download or otherwise access materials that are protected by
copyright. Whether the copyright is owned by Mind Tools or any
other associated party, these materials may not be downloaded,
used or copied except for the purposes explicitly stated within
the materials or on the Mind Tools site or otherwise agreed
in writing.
8. Personal Support
Personal support may be provided as part of the Supported Study
Program to answer general questions related to the material,
usually by email. You will limit your questions to general program-related
matters, and shall not seek personal advice. Your nominated
Mind Tools Teleclass or E-Class leader will respond to you in
general terms with due care and accuracy, but cannot give advice
on specific personal matters.
9. Recording of Teleclasses
9.1 Mind Tools may record teleclasses for
commercial purposes and may then distribute them. By participating
in a teleclass you give permission for the recording and its
distribution and agree that you will not be compensated in any
way for this. If a teleclass is to be recorded, Mind Tools shall
notify participants accordingly.
9.2 You may not record or transcribe the teleclass except for
your own personal use. You must not distribute, share or otherwise
transmit the recording or transcription.
10. Payment
10 .1. Our charges for our Supported Study Programs, and our
terms of payment, are set out on our website.
10 .2 Unless agreed otherwise, all our charges are inclusive
of any applicable value added or other tax.
10 .3 We reserve the right to cancel your booking on the Teleclasses
and Teleclass Program if our charges are overdue for payment
by you.
11. Cancellation and Refunds by Mind
Tools
Mind Tools may occasionally need to cancel Teleclasses and other
support due to unforeseen circumstances such as illness of the
teleclass leader, over-subscription of the program or technical
failure of the teleconference service.
Where such circumstances arise, you will be
notified as soon possible. You will receive a full refund within
7 days, unless you choose to accept an alternative date and
time, where one has been offered. Mind Tools' liability to you
on cancellation shall not exceed the price paid for the teleclass
or teleclass program.
12. Warranty and Liability
12.1 We warrant to you that Teleclasses and Teleclass Programs
will be provided with reasonable skill and care by staff or
associates who are appropriately skilled and experienced.
12.2 Nothing in this Agreement shall be construed as restricting
or excluding our liability for death or personal injury resulting
from our negligence or for fraud.
12.3 Our liability to you under this agreement shall not exceed
the price paid by you for the Supported Study Program.
13. Confidentiality
We shall keep any written information about you in strict confidence
and shall not pass your details to any third party, except where
required to do so by law.
14. General
14.1 No waiver or any amendment to these terms shall be effective
unless in writing and signed by both you and us.
14.2 A person who is not a party to these terms may not enforce
any of them under the Contracts (Rights of Third Parties) Act
1999.
14.3 If any dispute arises out of these terms we will both attempt
to settle it by mediation in accordance with the Centre for
Dispute Resolution (CEDR) Model Mediation Procedure.
14.4 This Agreement shall be governed by the laws of England
and we both agree to submit to the non-exclusive jurisdiction
of the English Courts.
